By accessing or using the Good Folks platform, website (https://goodfolks.ai), APIs, or any associated services (collectively, the "Service"), you acknowledge that you have read, understood, and agree to be bound by these Terms of Service ("Terms"). If you are using the Service on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms. If you do not agree to these Terms, you must not access or use the Service. Your continued use of the Service following the posting of any changes to these Terms constitutes acceptance of those changes.

Good Folks is an AI agent platform that provides users with a team of autonomous AI agents capable of handling tasks such as email management, meeting scheduling, smart home control, shopping assistance, and more. The Service includes: • Access to AI agent capabilities through our web-based dashboard and APIs • Cloud-hosted infrastructure for running and managing AI agents • Integration with third-party services and platforms • Data storage and processing related to your AI agent interactions • Customer support and documentation We reserve the right to modify, suspend, or discontinue any aspect of the Service at any time, with or without notice. We shall not be liable to you or any third party for any modification, suspension, or discontinuation of the Service.

To access certain features of the Service, you must create an account. When creating an account, you agree to: • Provide accurate, current, and complete information during registration • Maintain and promptly update your account information to keep it accurate and complete • Maintain the security and confidentiality of your login credentials • Accept responsibility for all activities that occur under your account • Notify us immediately of any unauthorized use of your account You must be at least 18 years of age to create an account and use the Service. Our trademarks, service marks, and logos may not be used in connection with any product or service without our prior written consent. All other trademarks not owned by Good Folks Inc. that appear on the Service are the property of their respective owners. You retain ownership of any content you submit, post, or display on or through the Service ("User Content"). By submitting User Content, you grant us a worldwide, non-exclusive, royalty-free license to use, reproduce, modify, and display such content solely for the purpose of providing and improving the Service. Any AI-generated outputs produced through your use of the Service are subject to the terms of your subscription plan. You are responsible for reviewing and verifying any outputs before relying on them.

Certain features of the Service require a paid subscription. By selecting a paid plan, you agree to pay all fees associated with your chosen plan. Fees are billed in advance on a monthly or annual basis, depending on your selected billing cycle. • All fees are quoted in U.S. Dollars unless otherwise stated • You authorize us to charge your designated payment method for all fees incurred • Subscription fees are non-refundable except as described in our Refund Policy • We may change our pricing with at least 30 days' notice before your next billing cycle • Failure to pay may result in suspension or termination of your access to the Service For details on cancellations and refunds, please refer to our Refund Policy.

To the maximum extent permitted by applicable law, Good Folks Inc., its affiliates, officers, directors, employees, agents, and licensors shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, use, goodwill, or other intangible losses, resulting from: • Your access to or use of (or inability to access or use) the Service • Any conduct or content of any third party on the Service • Any content obtained from the Service • Unauthorized access, use, or alteration of your transmissions or content • Actions taken or decisions made based on AI agent outputs or recommendations In no event shall our total liability to you for all claims exceed the amount you have paid to us in the twelve (12) months preceding the event giving rise to the liability. Some jurisdictions do not allow the exclusion or limitation of certain damages, so some of the above limitations may not apply to you.

The Service is provided on an "AS IS" and "AS AVAILABLE" basis, without warranties of any kind, either express or implied. Good Folks Inc. disclaims all warranties, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted, timely, secure, or error-free; that the results obtained from the Service will be accurate or reliable; or that any errors in the Service will be corrected. AI agent outputs are generated algorithmically and may contain inaccuracies. You acknowledge that you use the Service at your own risk.

We may terminate or suspend your account and access to the Service immediately, without prior notice or liability, for any reason, including but not limited to a breach of these Terms. Upon termination: • Your right to use the Service will immediately cease • We may delete your account and all associated data, subject to our data retention policies and applicable law • All provisions of these Terms which by their nature should survive termination shall survive, including ownership provisions, warranty disclaimers, and limitations of liability You may terminate your account at any time by contacting us at [email protected] or through your account settings.

You agree to indemnify, defend, and hold harmless Good Folks Inc. and its officers, directors, employees, agents, and affiliates from and against any and all claims, damages, obligations, losses, liabilities, costs, and expenses (including attorneys' fees) arising from: • Your use of the Service • Your violation of these Terms • Your violation of any third-party rights, including intellectual property rights • Any content you submit or transmit through the Service

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions. Any disputes arising out of or relating to these Terms or the Service shall be resolved exclusively in the state or federal courts located in Wilmington, Delaware. You consent to the personal jurisdiction and venue of such courts and waive any objection based on inconvenient forum.

We reserve the right to modify or replace these Terms at any time at our sole discretion. If a revision is material, we will provide at least 30 days' notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion.
